Terms of Service
These Terms of Service (the "Terms") are an agreement between you and Release Media Inc. ("Release Media", "we", "us"), the operator of Ranktiva. They govern your use of the ranktiva.com website, the Ranktiva platform and dashboard, the Ranktiva connector for Claude, and related services (together, the "Service"). By creating an account or using the Service, you accept these Terms.
1. Eligibility and accounts
The Service is for business use. You must be at least 18 and have authority to bind the business you register. You are responsible for your account credentials and licence keys and for all activity under them. Keep your licence key confidential; it identifies your subscription.
2. What the Service is
Ranktiva provides encoded SEO and GEO delivery workflows ("playbooks") that run inside Claude through the Ranktiva connector, together with data connections (including our SEO data engine, Google Analytics 4, Google Search Console, and WordPress), a dashboard, credit metering, and white-label reporting.
Your Claude subscription. Running playbooks requires your own active subscription with Anthropic for Claude. Your use of Claude is governed by your agreement with Anthropic, not by these Terms. Content writing runs through your Claude subscription; Ranktiva does not charge for it.
Third-party services. Google, Anthropic, WordPress, and other connected services have their own terms, which apply to your use of them. We are not responsible for third-party services, their availability, or changes they make.
3. Subscriptions, credits, and billing
Plans. The Service is sold as a monthly subscription that includes a monthly credit allotment. Current plan details are shown at purchase.
Credits. Credits meter data and platform actions (for example: research pulls, crawls, publishing transactions, image generation). The monthly allotment is added each billing cycle and does not carry over. Top-up credits purchased separately do not expire while your account remains active. Credits have no cash value and are not refundable except where the law requires.
Cost visibility. The dashboard shows credit usage, and the Service provides cost estimates for planned work. Estimates are good-faith estimates; actual usage is what is metered.
Founding rate. If you subscribe during the founding (invitation) period, your subscription price is locked at the founding rate for as long as your subscription remains continuously active. If your subscription lapses or is terminated, the founding rate ends and re-subscription is at then-current pricing. The founding rate applies to the subscription price; credit top-up pricing and plan contents may evolve as the Service evolves, and founding members receive new connections and playbooks added to their plan tier as they ship.
Billing and cancellation. Subscriptions renew monthly until cancelled. You can cancel any time from your dashboard, effective at the end of the current billing cycle. Fees already paid are non-refundable except where the law requires.
Taxes. Prices exclude taxes. Business customers outside the United States may be subject to reverse-charge rules; you are responsible for self-assessing where they apply.
4. Your clients and your authority
You may connect websites, Google accounts, WordPress sites, and other properties that belong to your clients. You represent and warrant that, for every property you connect, you have the client's authorization to connect it, to access its data through the Service, and to make the changes you approve. You are responsible to your clients for the services you deliver to them. We process end-client data on your behalf and under your instructions, as described in the Privacy Policy.
5. Site changes, approvals, and snapshots
Playbooks pause at review gates, and changes to a connected website are applied only after your approval. Before applying changes, the Service saves a snapshot to enable rollback. You are responsible for reviewing outputs before approving them, for the content you publish, and for maintaining your own independent backups of client sites. Snapshots are a safety feature, not a replacement for backups.
6. Acceptable use
You agree not to:
- use the Service for unlawful content or activity, or to infringe others' rights;
- connect properties you are not authorized to access;
- share, resell, or sublicense your licence key or account except as the white-label model intends (delivering services to your clients);
- attempt to extract, copy, or reverse engineer the playbooks, prompts, or workflows;
- probe, overload, or disrupt the Service, or use it to send spam or manipulate third-party platforms in violation of their terms.
We may suspend accounts that violate this section, with notice where practical.
7. White-label use
Client-facing outputs (reports, content, deliverables) may be delivered under your own brand. You are responsible for how you present the services to your clients. You may not present yourself as Ranktiva or Release Media, and you may not use our trademarks except to accurately reference the Service in business-to-business contexts.
8. Intellectual property
Ours. The Service, including the playbooks, workflows, prompts, software, and documentation, belongs to Release Media and its licensors. Subscribing gives you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active.
Yours. You retain your rights to your data and to the deliverables produced for you and your clients through the Service (reports, strategies, published content). We claim no ownership of them.
Aggregated insights. We may create and use anonymized, aggregated information as described in the Privacy Policy, including for product improvement and published research. This information never identifies you, your clients, or their sites.
9. No guarantee of results
SEO and AI search visibility depend on factors outside anyone's control, including search engines' and AI platforms' own systems and changes. We do not guarantee rankings, traffic, AI citations, or any specific outcome. The Service automates and grounds the delivery work; results vary.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that third-party services will remain available or unchanged.
11. Limitation of liability
To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and (b) our total liability for all claims in any 12-month period is limited to the amounts you paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You will indemnify us against third-party claims arising from your breach of Section 4 (authority over connected properties), Section 6 (acceptable use), or your services to your clients.
13. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate for material breach of these Terms, for non-payment, or where required by law, with notice where practical. On termination, your access ends, and data deletion follows the Privacy Policy. Sections that by nature survive (including 8 to 12) survive termination.
14. Changes to the Service and these Terms
The Service evolves; we may add, change, or retire features. We will not remove core functionality you rely on without reasonable notice. We may update these Terms; material changes will be notified by email at least 14 days before they take effect. Continued use after that date means acceptance. Price changes never affect an active founding-rate subscription (Section 3).
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English. The seat of arbitration is Wilmington, Delaware, and hearings may be held remotely. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief in court to protect intellectual property or confidential information.
Individual basis. Disputes will be resolved on an individual basis only. Neither party may participate in a class, consolidated, or representative action. If this paragraph is found unenforceable for a given dispute, that dispute will proceed in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
Nothing in this section overrides mandatory consumer or forum rights that the law of your home country grants and does not allow to be waived.
